Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PourPrice platform operated by PourPrice Inc. (“PourPrice,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.

1. Service Description

PourPrice is a SaaS platform that aggregates and provides live, market-based ready-mix concrete pricing by mix design. The Service includes:

  • A searchable database of concrete pricing by location, PSI, and mix design.
  • Pricing data collected from automated voice AI calls to batch plants, state DOT bid tabulations, BLS Producer Price Index data, and user-contributed invoice data.
  • A dashboard for project cost tracking, saved searches, and quote comparison.
  • Integrations with third-party construction software including Procore and ERP systems.
  • A public API for programmatic access.

2. Account Terms

2.1 Organization Accounts

Accounts are created at the organization level. The individual who creates the account (“Account Admin”) is responsible for:

  • All activity occurring under the organization’s account.
  • Ensuring that all members added to the account have accepted these Terms.
  • Maintaining the security of account credentials.
  • Promptly notifying us at support@pourprice.com of any unauthorized access.

2.2 Eligibility

You must be at least 18 years old and authorized to enter contracts on behalf of your organization to create an account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated.

3. Acceptable Use

You may use the Service only for lawful purposes. You agree not to:

  • Scrape, crawl, or systematically extract data from the Service beyond your authorized API plan limits.
  • Resell, sublicense, or redistribute PourPrice pricing data to third parties without our express written permission.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service.
  • Use the Service to build a competing product or service that replicates PourPrice’s core functionality.
  • Submit false, fabricated, or deliberately misleading pricing data to the platform.
  • Attempt to gain unauthorized access to other accounts, our infrastructure, or any system connected to the Service.
  • Violate any applicable law or regulation, including state AI disclosure laws when using voice features.

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

4. Pricing and Billing

4.1 Subscription Plans

The Service is offered on a subscription basis. Current plans are published at pourprice.com/pricing. Subscriptions are billed annually in advance, or monthly at a 15% premium over the annual rate.

4.2 Usage-Based Overages

API queries and certain features beyond plan limits are billed at usage-based rates published on the pricing page. Overages are billed monthly in arrears via Stripe.

4.3 Payment Terms

Payments are processed by Stripe. All amounts are in USD and non-refundable except as required by applicable law or as provided in our refund policy. Unpaid invoices accrue interest at 1.5% per month. We may suspend access for accounts 30+ days past due.

4.4 Price Changes

We will give at least 60 days’ notice of subscription price increases. Price changes take effect at the next billing renewal after the notice period.

5. Data Ownership and License

5.1 Your Data

You own the data you submit to PourPrice (project data, uploaded invoices, entered pricing). You grant PourPrice a worldwide, non-exclusive, royalty-free license to host, store, process, and use that data solely to provide and improve the Service, including incorporating anonymized pricing data into the market pricing pool.

5.2 PourPrice Data

PourPrice owns all aggregated, de-identified pricing data, the pricing database, platform algorithms, and all derived market intelligence. This data does not identify any individual customer, organization, or submitted transaction.

5.3 Data Portability

You may export your organization’s data (projects, saved searches, quote history) at any time via the dashboard export feature or by contacting us. Upon account termination, we will provide an export upon request within 30 days.

6. Intellectual Property

PourPrice and its licensors own all right, title, and interest in and to the Service, including all software, content, trademarks, and aggregated data. These Terms do not grant you any ownership rights. Your right to use the Service is limited to the license granted by your active subscription plan.

7. Third-Party Integrations

Connecting third-party services (such as Procore) to PourPrice is subject to the terms and privacy policies of those services. PourPrice is not responsible for the actions, data handling, or availability of third-party services. You are responsible for ensuring you have the necessary rights to share data between PourPrice and any connected service.

8. Limitation of Liability

8.1 Pricing Data is Informational

Concrete pricing data provided by PourPrice is informational and reflects data collected from third-party sources including batch plants, government bid databases, and user-submitted invoices. PourPrice makes no guarantee that displayed prices are accurate, current, or available at any specific plant. Pricing data should be verified directly with suppliers before committing to a project budget or contract. PourPrice is not liable for any procurement decisions made based on data from the platform.

8.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POURPRICE’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 USD.

8.3 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POURPRICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” POURPRICE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription via the billing settings in your dashboard; cancellation takes effect at the end of the current billing period. PourPrice may suspend or terminate your access immediately for violations of these Terms, non-payment, or if required by law. Upon termination, your right to access the Service ceases. Data export rights survive termination for 30 days.

11. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall first be addressed by written notice to legal@pourprice.com. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between PourPrice and you individually. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any order form or SOW, constitute the entire agreement between you and PourPrice.
  • Amendments: We may update these Terms by posting a revised version with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. Material changes will be communicated via email at least 14 days in advance.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right or provision is not a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
